Critical clawback details to check

  • Gross vs net repayment: Most clawbacks require repaying the GROSS amount — even though you only received the after-tax value. You may need to recoup the tax difference on your next return.
  • Trigger events: Does the clawback trigger on voluntary resignation only, or also on termination without cause? If they fire you, do you still owe? Get this in writing.
  • Non-compete interaction: A signing bonus with clawback + non-compete = golden handcuffs. If you can't leave AND can't work nearby, the bonus is a trap.
